1. Our Services & Operational Model
CPayant (the "Company," "We," "Us," or "Our") provides a cross-border financial technology ecosystem via our mobile application (the "App"), website, APIs, and associated financial infrastructure (collectively, the "Services").
CPayant is a financial technology platform, not a bank, licensed money transmitter, or direct depositary institution.
- Global Corridors: Our platform facilitates payment routing, clearing, and B2B trade infrastructure across intra-African cross-border corridors and international out-bound/in-bound corridors including, but not limited to, the United States of America (USA), China, Europe, South America, and the Caribbean.
- Licensed Financial Agents: All banking, traditional money transmission, multi-currency clearing, and foreign exchange (FX) settlement services are executed solely by our network of duly authorized, regulated partner commercial banks, licensed money transfer operators (MTOs), and compliant virtual asset service providers (VASPs) within their respective local jurisdictions.
2. Eligibility & User Classifications (B2B & Retail)
While CPayant's primary focus is providing high-volume B2B infrastructure for commercial enterprises and SMEs, our Services are also available to individual customers for personal, non-commercial cross-border remittances and transfers.
By registering an account, you fall into one of two user categories:
- Business Users (B2B): You represent, warrant, and covenant that you are accessing the platform on behalf of a legally recognized business entity, partnership, or sole proprietorship, and possess the explicit legal authority to bind that entity.
- Individual Users (Consumer): You are accessing the platform in your personal capacity. If you are an individual consumer, you possess certain statutory protection rights provided by the obligatory laws of your country of habitual residence. Nothing in these terms strips away those mandatory consumer protections that cannot be altered by contract.
You must be at least 18 years of age to access, use, or register for the Services under either classification.
3. Intellectual Property Rights
We are the sole owner or authorized licensee of all intellectual property rights in our Services, including source code, databases, software architectures, algorithms, AI scoring parameters, website and mobile interface designs, text, graphics, logos, and trademarks (the "Content" and "Marks").
Subject to your strict compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the App and Services solely to manage your cross-border transactions. No part of the Services may be reverse-engineered, scraped, duplicated, or exploited for external commercial gain without our express prior written consent.
4. User Representations, KYC, and KYB
To maintain the safety and integrity of our multi-corridor network, all users must complete our mandatory identity verification processes prior to executing any transaction. You represent, warrant, and covenant that:
- For Individual Users: All provided government-issued identification, address verification data, and Know Your Customer (KYC) details are true, accurate, and complete.
- For Business Users: All structural business registration records, beneficial ownership declarations, and Know Your Business (KYB) documentation are true, accurate, and complete. You must update your profiles within 24 hours of any material corporate changes.
- Your use of the platform does not, and will not, violate any applicable local or international law, sanction regime, or financial regulation.
5. Zero-Tolerance Fraud & Prohibited Activities Policy
CPayant enforces a strict, zero-tolerance policy against fraud, financial crimes, scams, and systemic platform manipulation. You are expressly prohibited from using the Services to engage in, facilitate, or support any deceptive or unlawful behavior. Prohibited activities include, but are not limited to:
- Deceptive Conduct & Chargebacks: Engaging in "friendly fraud," deliberate chargeback abuse, invoice factoring manipulation, double-spending, card-not-present fraud, or presenting falsified commercial invoices, bills of lading, or personal transfer details.
- Identity Fraud & Proxy Accounts: Operating an account under an assumed or false name, using synthetic or stolen identities, or acting as an unregistered money transmitter or proxy node to move funds on behalf of undisclosed, unverified third parties ("renting" or "leasing" your personal or corporate account to others).
- Systemic Interdiction: Utilizing automated scrapers, bots, or script injections to harvest exchange rate data, bypass system security boundaries, manipulate the AI credit scoring algorithm, or trigger intentional network congestion.
- Illicit Financing: Using the platform to launder money, finance terrorism, bypass international trade embargoes, or handle funds tied to human trafficking, narcotics, or weapons proliferation.
- Competitive Exploitation: Accessing our internal pricing mechanisms or proprietary settlement rails for the sole purpose of building a competing business or conducting industrial espionage.
6. Strict Compliance Enforcement & Asset Freezes
If CPayant, in its sole discretion, detects or suspects that your account has engaged in fraudulent activity, high-risk trade anomalies, phishing, peer-to-peer scams, or violations of global Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) standards, we will exercise our right to take immediate punitive measures without prior notice.
In the event of a suspected or confirmed security breach, compliance red-flag, or fraudulent transaction, CPayant reserves the absolute right to:
- Immediate Suspension: Indefinitely freeze your account access, mobile app access, merchant dashboards, and API integrations.
- Asset Hold: Set a hard security hold on all pending settlements, personal balances, processing balances, digital assets, and fiat currencies within our platform infrastructure.
- Forfeiture and Indemnity: Claw back or offset any balances to rectify losses incurred due to fraudulent transactions, chargeback fines, scam recovery efforts, or regulatory penalties.
- Criminal Referral: Hand over full transaction histories, IP logs, KYC/KYB records, and communications to global law enforcement agencies, including FinCEN (USA), Europol, Interpol, the EFCC (Nigeria), EOCO (Ghana), and relevant financial intelligence units.
7. Foreign Exchange (FX), Pricing, and Volatility
Cross-border settlements across African and international corridors involve dynamic foreign exchange conversions.
- Rate Determination: Exchange rates provided in the App are derived from real-time global market data and our liquidity providers. Rates may be locked for a highly specific, restricted time window as displayed on your transaction slip before submission.
- Volatility Risk: If a transaction is delayed due to incomplete user documentation, security flags, or partner banking clearing schedules, you assume the full financial risk of FX fluctuations.
- Refund Adjustments: If a transaction is canceled or refunded, CPayant and its partner institutions will execute the refund at the prevailing market exchange rate at the exact moment of the refund execution—not the historical rate at which the transaction was initiated.
8. Blockchain, Stablecoin, and Digital Asset Protocols
To ensure high-velocity settlement across complex international corridors, CPayant utilizes underlying blockchain protocols, distributed ledgers, and stablecoins.
- Irreversibility: You explicitly acknowledge that blockchain and digital asset transactions are functionally irreversible. Once a transaction payload is broadcast and finalized on its respective digital ledger, CPayant cannot recall, reverse, or alter those funds.
- Network Failures: CPayant bears zero liability for losses, transaction dropouts, or delays arising from underlying public blockchain network congestion, validator forks, smart contract vulnerabilities, or software failures beyond our immediate infrastructure control.
9. AI Credit Scoring & Third-Party Lending Disclaimer
CPayant provides automated, AI-driven credit analysis, transaction history scanning, and business health metrics calculation tools for commercial users.
- Estimation Only: This scoring mechanism is strictly an automated evaluation tool used to connect qualified commercial enterprises with third-party microfinance banking partners, trade-finance funds, and guarantee providers.
- No Direct Credit: CPayant does not directly issue debt, extend commercial credit lines, or issue corporate bank guarantees. The absolute final decision to disburse funds or approve a trade-finance facility rests solely with the partner microfinance banking institution. CPayant disclaims all liability for underwriting decisions, funding denials, or downstream disputes between a merchant and a lending bank.
10. User Registration & Account Security
You are entirely responsible for safeguarding your platform access credentials, including passwords, two-factor authentication (2FA) tokens, biometric login tokens, and API secret keys. Any activity occurring under your personal or business credentials will be legally deemed as authorized actions taken directly by you. You must notify us immediately at security@cpayant.com upon discovering any unauthorized entry or credential leakage.
11. Mobile Application License
When accessing our platform via the App downloaded from an official provider (e.g., Apple App Store, Google Play), we grant you a revocable, non-exclusive, non-transferable, limited license to run our software on your personal or business devices. You are strictly forbidden from decompiling, reverse-engineering, modifying, or creating derivative software products based on our proprietary client-side source code.
12. Third-Party Websites and Content
Our platform may route data or display links to external third-party digital web properties, accounting packages, or localized logistics tracking tools. We do not audit or verify these external services for accuracy or safety. Your engagement with third-party sites is conducted at your own risk and subject entirely to their respective terms and privacy models.
13. Privacy Policy & Transborder Data Flows
We prioritize data security and integrity. By utilizing our Services, you consent to the collection, aggregation, and processing of your personal and corporate financial data in accordance with our Privacy Policy. Because our services span international corridors, you acknowledge and agree that your data will be securely transferred across borders and processed within data centers located in the United States, Europe, and our primary African regional hubs to facilitate multi-currency settlements and compliance screenings.
14. Term and Termination
These Legal Terms will remain in full force and effect while you maintain an active profile or utilize any portion of our platform. CPayant reserves the independent right to terminate your account, rescind API access, or sever platform access to any individual or entity at any time, for any reason—or no reason—at our sole discretion, without liability or prior warning.
15. Modifications and Service Interruptions
We reserve the right to change, adapt, update, or remove components of our software or pricing structures at our sole discretion. We do not guarantee uninterrupted, 100% uptime of our platform. Hardware maintenance, telecommunications dropouts, or international banking server outages may cause temporary delays, and you agree that CPayant is not legally liable for any operational downtime or revenue loss sustained during these technical intervals.
16. Governing Law
These Legal Terms and your relationship with us shall be governed by, interpreted, and construed strictly in accordance with the laws of the State of Delaware, United States of America, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods is explicitly excluded from these terms.
17. Dispute Resolution & Binding Arbitration
To accelerate resolution and contain the cost of any conflict, you and CPayant agree to first attempt to settle any dispute, controversy, or claim arising out of these Legal Terms (a "Dispute") through structured, informal negotiations for a mandatory minimum period of ninety (90) days before triggering formal proceedings.
- Binding Arbitration: If the Parties cannot resolve a Dispute informally, the Dispute shall be definitively settled under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause.
- Seat and Language: The official legal seat and venue of the arbitration shall be London, United Kingdom. The language used throughout the arbitral proceedings shall be English.
- Class Action Waiver: To the fullest extent permitted by law, all arbitration proceedings must be conducted strictly on an individual basis. No dispute may be joined with other proceedings, arbitrated on a class-action level, or brought in a representative capacity on behalf of the general public.
18. Disclaimers & Limitations of Liability
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CPAYANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANT FITNESS FOR A SPECIFIC PURPOSE AND NON-INFRINGEMENT.
IN NO EVENT SHALL CPAYANT, ITS DIRECTORS, SHAREHOLDERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF REPUTATIONAL STATUS, OR CORRUPTION OF TRANSACTION DATA—ARISING FROM YOUR USE OF OR INABILITY TO USE OUR NETWORK INFRASTRUCTURE, EVEN IF WE WERE EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
19. Indemnification
You agree to defend, indemnify, and hold harmless CPayant, its parent company CPayant Co., its subsidiaries, affiliates, officers, directors, and clearing agents from and against any third-party claims, liabilities, financial damages, losses, regulatory fines, and legal fees arising directly out of: (1) your fraudulent use or misuse of the platform; (2) your breach of these Legal Terms; (3) any misrepresentation within your KYC/KYB profiles; or (4) your violation of international financial regulations or local laws.
20. Electronic Communications & Signatures
Accessing the App, initiating transactions, and sending digital compliance documents constitute electronic communications. You expressly consent to receive all receipts, regulatory disclosures, amendments, and platform notices electronically via email or in-app dashboard alerts. You agree that all electronic signatures, digital click-wrap agreements, and automated transaction logs carry the same legal weight as a physical hand-inked signature.
21. Miscellaneous & Contact Information
These Legal Terms comprise the entire operational agreement between you and CPayant. Our failure to enforce a specific right or provision does not constitute a waiver of that right. If any clause within these terms is found to be unlawful or unenforceable by an arbitral tribunal or court of competent jurisdiction, that specific provision will be severed, and the remaining sections will retain full legal force.
